Management believes that an additional investment of approximately $1 million into infrastructure upgrades-including racking, warehouse security, operational systems and capacity improvements-could materially improve operating efficiency and profitability.

Following the proposed infrastructure investment, completion of the consolidation program and successful conversion of identified customer opportunities, management forecasts that annual profitability could potentially increase to approximately $2 million to $2.5 million. This projection is management-prepared and remains subject to commercial validation, execution and independent due diligence.

Management has also identified approximately $2 million in potential new-customer revenue and a further estimated $1 million to $2 million opportunity from existing customers.

TRANSACTION

The preferred transaction structure is a share sale or share issue. Alternative investment structures may also be considered.
